BACKGROUND

A. The Covenantee is raising funds with the intention of acquiring title to Lot 7 on Diagram 33306, being the whole of the land described in Certificate of Title Volume 1684 Folio 378 (Property) and using the Property for charitable purposes.

B. The Covenantor wishes to support the Covenantee’s charitable intentions by undertaking to make the Donation to a fund to be established by the Covenantee or the Covenantee’s nominated entity (Nominee) if the Covenantee or its Nominee can secure an agreement for the title to the Property to be transferred to the Covenantee or its Nominee.

C. The parties enter into this Donation Commitment Agreement to govern the terms on which the Covenantor’s Donation will become due and payable.

OPERATIVE PROVISIONS

1 Definitions

In this Agreement:

Bank Account means the Bank Account with details to be provided in the Covenantee’s Notice.

Notice means a notice in writing, signed by the Covenantee and sent:

(a) by ordinary pre-paid post to the Covenantor’s Address; or

(b) by email to the Covenantor’s Email Address.

Property means Lot 7 on Diagram 33306, being the whole of the land described in Certificate of Title Volume 1684 Folio 378

2 The Covenantee’s obligations

The Covenantee must provide Notice to the Covenantor when the Covenantee has secured an agreement for the Covenantee, or its Nominee, to acquire to the Property. The Notice must provide details of:

(a) the Nominee (if applicable) that will receive the Donation;

(b) the Nominee (if applicable) that will become the Registered Proprietor (Registered Proprietor) of the Property and will hold the Property for the charitable purposes;

(c) the terms on which the Registered Proprietor will hold the Property; and

(d) the details of the Bank Account into which the Donation is to be paid.

3 Covenantor’s obligations

Within 14 days of receiving the Notice referred to in clause 2 above, the Covenantor undertakes to deposit the amount of the Donation by electronic funds transfer to the Bank Account.

4 Acknowledgements

(a) The Covenantee acknowledges that the Donation will not be payable by the Covenantor unless the Covenantee is able to secure an agreement for title to the Property to be transmitted to the Covenantee or its Nominee, and provides the Notice required in clause 2.

(b) The Covenantor acknowledges that they must make payment of the Donation following receipt of the Notice contemplated in clause 2.

5 Governing law

The interpretation, construction and effect of this document is governed and construed in all respects in accordance with the laws of Western Australia and the parties submit to the jurisdiction of the courts exercising jurisdiction in that territory and the courts of appeal from that jurisdiction.
